shareholders’ meeting

This is the body within a Dutch limited company in which all shareholders are represented and have a vote.  In the Netherlands a shareholders’ meeting is held at least once a year. During this event the company account for their performances to the shareholders and present information about the course of the company.

Shareholders’ approval

At the shareholders’ meeting shareholders decide on adoption of the annual accounts. Furthermore the shareholders’ approval is required by law on a range of other maters (e.g. mergers, appointing/dismissing board members and amendments of the articles of association A document, drawn up when a Dutch company or legal person is set up, and which regulates the operations of the company and defines its purpose.

Shareholders’ meeting and Annual General meeting

The shareholders’ meeting is also referred to as Annual General Meeting (AGM) although not all AGMs are shareholders’ meetings. For instance,  AGM also refers to the annual meeting for members of an organisation.
